Terms of Business (B2B)

Last updated: 28 October 2026 · Draft for the pilot; the signed contract prevails.

These terms apply to business-to-business enquiries, quotations and offers for agricultural commodities. They are not consumer terms. The EU contracting entity, its VAT number and bank details are stated in the written offer and contract after verification.

1. Offers and specifications

Website content, line cards and product descriptions are an invitation to enquire, not a binding offer. A binding offer is made only in a written quotation that states the product, origin, quantity, quality parameters, price, Incoterm, delivery window and payment terms.

2. Origin, duty and customs

Duty treatment depends on the origin of the goods and on a valid REX statement for that origin. GSP+ rates and REX numbers are confirmed per line and per shipment before dispatch. Goods of Uzbek origin require a UZ REX statement; Kyrgyz goods require a KG REX statement. Nothing on this site guarantees a 0% rate until that confirmation is in the contract file.

3. Delivery and VAT

Unless the written offer says otherwise, delivery is DAP (Incoterms® 2020) to the buyer's warehouse in the EU. The buyer is responsible for unloading. Import VAT is not paid at the border; the buyer accounts for the intra-EU acquisition in its VAT return (VIES/ESL). Customs clearance under procedure 42 is arranged by the seller's EU entity where the offer says so.

4. Payment

Payment is by bank transfer to the account named in the signed contract. A documentary letter of credit is accepted only after the issuing bank and terms are confirmed in writing by the seller's bank; the website's mention of LC is not a commitment. Bank charges outside the seller's bank are for the buyer's account.

5. Samples and inspection

Samples are provided for evaluation and remain the seller's property until a contract is signed. Pre-shipment inspection is performed by an independent surveyor agreed in the contract; the surveyor, scope and cost allocation are stated in the offer. Laboratory reports relate to the sampled lot and are not a warranty of every unit.

6. Title, risk and claims

Title passes according to the contract and the applicable Incoterm. Risk passes according to the Incoterm. Quality claims must be notified in writing within the period stated in the contract, with samples and the surveyor's report; late claims may be rejected. Liability is limited to the value of the affected lot, except where the law does not allow limitation.

7. Force majeure and sanctions

Neither party is liable for delay caused by force majeure, provided it notifies the other promptly. The seller does not route goods through Russia, Belarus or Iran and expects the buyer to comply with EU sanctions and export-control rules. The seller may refuse an order that would breach sanctions or customs rules.

8. Governing law

These terms and the contract are governed by Bulgarian law. The courts of Plovdiv, Bulgaria, have jurisdiction, unless the contract states otherwise. The United Nations Convention on Contracts for the International Sale of Goods (CISG) applies unless excluded in the contract.
